Terms of Service

Welcome to Rounds.One ("we," "our," or "us"). By accessing or using our healthcare communication platform, you agree to be bound by these Terms of Service ("Terms").

1. Service Description

Rounds.One provides a secure healthcare communication and task management platform for healthcare facilities, including nursing homes, assisted living facilities, and other healthcare organizations. The platform includes features such as secure messaging, task assignment, room notes, emergency alerts, and reporting.

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of a healthcare facility to use our service. By using Rounds.One, you represent that you are a healthcare professional or staff member at a licensed healthcare facility.

3. Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account. Each user must have their own unique login - sharing credentials is prohibited.

You agree to use Rounds.One only for legitimate healthcare operations, including patient care coordination, staff communication, task management, and compliance documentation. You may not:

5. HIPAA Compliance

Rounds.One is designed to be HIPAA-ready. We sign Business Associate Agreements (BAAs) with covered entities. You are responsible for ensuring your use of the platform complies with all applicable privacy laws, including proper access controls and patient consent where required.

6. Data Encryption

All sensitive data stored in Rounds.One is encrypted using AES-256 encryption. Messages, notes, and personally identifiable information are encrypted before storage.

7. Subscription and Payments

Fees are based on your selected subscription plan and number of users/subfacilities. Payments are processed securely. Late payments may result in suspended access. Fees are non-refundable except as required by law.

8. Cancellation and Termination

You may cancel your subscription at any time. We reserve the right to suspend or terminate accounts for violations of these Terms, non-payment, or extended inactivity. Upon termination, your data will be deleted within 30 days.

9. Data Ownership and Export

You own your facility's data. Upon request, we will provide your data in a standard export format (CSV/JSON). We may retain anonymized usage data to improve our service.

10. Disclaimer of Warranties

Rounds.One is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted or error-free. The platform is a communication tool and does not replace clinical judgment.

11. Limitation of Liability

To the maximum extent permitted by law, Rounds.One shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or patient harm arising from use of the platform. Our total liability shall not exceed the fees paid in the prior 3 months.

12. Indemnification

You agree to indemnify and hold Rounds.One harmless from any claims, damages, or expenses arising from your use of the platform, violation of these Terms, or violation of applicable laws.

13. Modifications to Service

We reserve the right to modify or discontinue features, update pricing, or change these Terms. Material changes will be notified via email or in-app notification 30 days in advance.

14. Governing Law

These Terms shall be governed by the laws of the State of New Mexico, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Santa Fe, New Mexico.
